A Contribution 27*da2e3ebdSchin 'originates' from a Contributor if it was added to the Program by 28*da2e3ebdSchin such Contributor itself or anyone acting on such Contributor's 29*da2e3ebdSchin behalf. Contributions do not include additions to the Program 30*da2e3ebdSchin which: (i) are separate modules of software distributed in 31*da2e3ebdSchin conjunction with the Program under their own license agreement, and 32*da2e3ebdSchin (ii) are not derivative works of the Program. 33*da2e3ebdSchin 34*da2e3ebdSchin "Contributor" means any person or entity that distributes the Program. 35*da2e3ebdSchin 36*da2e3ebdSchin "Licensed Patents " mean patent claims licensable by a Contributor 37*da2e3ebdSchin which are necessarily infringed by the use or sale of its Contribution 38*da2e3ebdSchin alone or when combined with the Program. 39*da2e3ebdSchin 40*da2e3ebdSchin "Program" means the Contributions distributed in accordance with this 41*da2e3ebdSchin Agreement. 42*da2e3ebdSchin 43*da2e3ebdSchin "Recipient" means anyone who receives the Program under this 44*da2e3ebdSchin Agreement, including all Contributors. 45*da2e3ebdSchin 46*da2e3ebdSchin 2. GRANT OF RIGHTS 47*da2e3ebdSchin 48*da2e3ebdSchin a) Subject to the terms of this Agreement, each Contributor hereby 49*da2e3ebdSchin grants Recipient a non-exclusive, worldwide, royalty-free copyright 50*da2e3ebdSchin license to reproduce, prepare derivative works of, publicly 51*da2e3ebdSchin display, publicly perform, distribute and sublicense the 52*da2e3ebdSchin Contribution of such Contributor, if any, and such derivative 53*da2e3ebdSchin works, in source code and object code form. 54*da2e3ebdSchin 55*da2e3ebdSchin b) Subject to the terms of this Agreement, each Contributor hereby 56*da2e3ebdSchin grants Recipient a non-exclusive, worldwide, royalty-free patent 57*da2e3ebdSchin license under Licensed Patents to make, use, sell, offer to sell, 58*da2e3ebdSchin import and otherwise transfer the Contribution of such Contributor, 59*da2e3ebdSchin if any, in source code and object code form. This patent license 60*da2e3ebdSchin shall apply to the combination of the Contribution and the Program 61*da2e3ebdSchin if, at the time the Contribution is added by the Contributor, such 62*da2e3ebdSchin addition of the Contribution causes such combination to be covered 63*da2e3ebdSchin by the Licensed Patents. The patent license shall not apply to any 64*da2e3ebdSchin other combinations which include the Contribution. No hardware per 65*da2e3ebdSchin se is licensed hereunder. 66*da2e3ebdSchin 67*da2e3ebdSchin c) Recipient understands that although each Contributor grants the 68*da2e3ebdSchin licenses to its Contributions set forth herein, no assurances are 69*da2e3ebdSchin provided by any Contributor that the Program does not infringe the 70*da2e3ebdSchin patent or other intellectual property rights of any other entity. 71*da2e3ebdSchin Each Contributor disclaims any liability to Recipient for claims 72*da2e3ebdSchin brought by any other entity based on infringement of intellectual 73*da2e3ebdSchin property rights or otherwise. As a condition to exercising the 74*da2e3ebdSchin rights and licenses granted hereunder, each Recipient hereby 75*da2e3ebdSchin assumes sole responsibility to secure any other intellectual 76*da2e3ebdSchin property rights needed, if any. For example, if a third party 77*da2e3ebdSchin patent license is required to allow Recipient to distribute the 78*da2e3ebdSchin Program, it is Recipient's responsibility to acquire that license 79*da2e3ebdSchin before distributing the Program. 80*da2e3ebdSchin 81*da2e3ebdSchin d) Each Contributor represents that to its knowledge it has 82*da2e3ebdSchin sufficient copyright rights in its Contribution, if any, to grant 83*da2e3ebdSchin the copyright license set forth in this Agreement. 84*da2e3ebdSchin 85*da2e3ebdSchin 3. REQUIREMENTS 86*da2e3ebdSchin 87*da2e3ebdSchin A Contributor may choose to distribute the Program in object code form 88*da2e3ebdSchin under its own license agreement, provided that: 89*da2e3ebdSchin 90*da2e3ebdSchin a) it complies with the terms and conditions of this Agreement; and 91*da2e3ebdSchin 92*da2e3ebdSchin b) its license agreement: 93*da2e3ebdSchin 94*da2e3ebdSchin i) effectively disclaims on behalf of all Contributors all 95*da2e3ebdSchin warranties and conditions, express and implied, including 96*da2e3ebdSchin warranties or conditions of title and non-infringement, and implied 97*da2e3ebdSchin warranties or conditions of merchantability and fitness for a 98*da2e3ebdSchin particular purpose; 99*da2e3ebdSchin 100*da2e3ebdSchin ii) effectively excludes on behalf of all Contributors all 101*da2e3ebdSchin liability for damages, including direct, indirect, special, 102*da2e3ebdSchin incidental and consequential damages, such as lost profits; 103*da2e3ebdSchin 104*da2e3ebdSchin iii) states that any provisions which differ from this Agreement 105*da2e3ebdSchin are offered by that Contributor alone and not by any other party; 106*da2e3ebdSchin and 107*da2e3ebdSchin 108*da2e3ebdSchin iv) states that source code for the Program is available from such 109*da2e3ebdSchin Contributor, and informs licensees how to obtain it in a reasonable 110*da2e3ebdSchin manner on or through a medium customarily used for software 111*da2e3ebdSchin exchange. 112*da2e3ebdSchin 113*da2e3ebdSchin When the Program is made available in source code form: 114*da2e3ebdSchin 115*da2e3ebdSchin a) it must be made available under this Agreement; and 116*da2e3ebdSchin 117*da2e3ebdSchin b) a copy of this Agreement must be included with each copy of the 118*da2e3ebdSchin Program. 119*da2e3ebdSchin 120*da2e3ebdSchin Contributors may not remove or alter any copyright notices contained 121*da2e3ebdSchin within the Program. 122*da2e3ebdSchin 123*da2e3ebdSchin Each Contributor must identify itself as the originator of its 124*da2e3ebdSchin Contribution, if any, in a manner that reasonably allows subsequent 125*da2e3ebdSchin Recipients to identify the originator of the Contribution. 126*da2e3ebdSchin 127*da2e3ebdSchin 4. COMMERCIAL DISTRIBUTION 128*da2e3ebdSchin 129*da2e3ebdSchin Commercial distributors of software may accept certain 130*da2e3ebdSchin responsibilities with respect to end users, business partners and the 131*da2e3ebdSchin like. While this license is intended to facilitate the commercial use 132*da2e3ebdSchin of the Program, the Contributor who includes the Program in a 133*da2e3ebdSchin commercial product offering should do so in a manner which does not 134*da2e3ebdSchin create potential liability for other Contributors. Therefore, if a 135*da2e3ebdSchin Contributor includes the Program in a commercial product offering, 136*da2e3ebdSchin such Contributor ("Commercial Contributor") hereby agrees to defend 137*da2e3ebdSchin and indemnify every other Contributor ("Indemnified Contributor") 138*da2e3ebdSchin against any losses, damages and costs (collectively "Losses") arising 139*da2e3ebdSchin from claims, lawsuits and other legal actions brought by a third party 140*da2e3ebdSchin against the Indemnified Contributor to the extent caused by the acts 141*da2e3ebdSchin or omissions of such Commercial Contributor in connection with its 142*da2e3ebdSchin distribution of the Program in a commercial product offering. The 143*da2e3ebdSchin obligations in this section do not apply to any claims or Losses 144*da2e3ebdSchin relating to any actual or alleged intellectual property infringement. 145*da2e3ebdSchin In order to qualify, an Indemnified Contributor must: a) promptly 146*da2e3ebdSchin notify the Commercial Contributor in writing of such claim, and b) 147*da2e3ebdSchin allow the Commercial Contributor to control, and cooperate with the 148*da2e3ebdSchin Commercial Contributor in, the defense and any related settlement 149*da2e3ebdSchin negotiations. The Indemnified Contributor may participate in any such 150*da2e3ebdSchin claim at its own expense. 151*da2e3ebdSchin 152*da2e3ebdSchin For example, a Contributor might include the Program in a commercial 153*da2e3ebdSchin product offering, Product X. That Contributor is then a Commercial 154*da2e3ebdSchin Contributor. If that Commercial Contributor then makes performance 155*da2e3ebdSchin claims, or offers warranties related to Product X, those performance 156*da2e3ebdSchin claims and warranties are such Commercial Contributor's responsibility 157*da2e3ebdSchin alone. Under this section, the Commercial Contributor would have to 158*da2e3ebdSchin defend claims against the other Contributors related to those 159*da2e3ebdSchin performance claims and warranties, and if a court requires any other 160*da2e3ebdSchin Contributor to pay any damages as a result, the Commercial Contributor 161*da2e3ebdSchin must pay those damages. 162*da2e3ebdSchin 163*da2e3ebdSchin 5. NO WARRANTY 164*da2e3ebdSchin 165*da2e3ebdSchin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS 166*da2e3ebdSchin PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY 167*da2e3ebdSchin KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY 168*da2e3ebdSchin WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY 169*da2e3ebdSchin OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely 170*da2e3ebdSchin responsible for determining the appropriateness of using and 171*da2e3ebdSchin distributing the Program and assumes all risks associated with its 172*da2e3ebdSchin exercise of rights under this Agreement, including but not limited to 173*da2e3ebdSchin the risks and costs of program errors, compliance with applicable 174*da2e3ebdSchin laws, damage to or loss of data, programs or equipment, and 175*da2e3ebdSchin unavailability or interruption of operations. 176*da2e3ebdSchin 177*da2e3ebdSchin 6. DISCLAIMER OF LIABILITY 178*da2e3ebdSchin 179*da2e3ebdSchin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR 180*da2e3ebdSchin ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, 181*da2e3ebdSchin INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING 182*da2e3ebdSchin WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF 183*da2e3ebdSchin LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING 184*da2e3ebdSchin NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR 185*da2e3ebdSchin DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED 186*da2e3ebdSchin HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 187*da2e3ebdSchin 188*da2e3ebdSchin 7. GENERAL 189*da2e3ebdSchin 190*da2e3ebdSchin If any provision of this Agreement is invalid or unenforceable under 191*da2e3ebdSchin applicable law, it shall not affect the validity or enforceability of 192*da2e3ebdSchin the remainder of the terms of this Agreement, and without further 193*da2e3ebdSchin action by the parties hereto, such provision shall be reformed to the 194*da2e3ebdSchin minimum extent necessary to make such provision valid and enforceable. 195*da2e3ebdSchin 196*da2e3ebdSchin If Recipient institutes patent litigation against a Contributor with 197*da2e3ebdSchin respect to a patent applicable to software (including a cross-claim or 198*da2e3ebdSchin counterclaim in a lawsuit), then any patent licenses granted by that 199*da2e3ebdSchin Contributor to such Recipient under this Agreement shall terminate as 200*da2e3ebdSchin of the date such litigation is filed. In addition, if Recipient 201*da2e3ebdSchin institutes patent litigation against any entity (including a 202*da2e3ebdSchin cross-claim or counterclaim in a lawsuit) alleging that the Program 203*da2e3ebdSchin itself (excluding combinations of the Program with other software or 204*da2e3ebdSchin hardware) infringes such Recipient's patent(s), then such Recipient's 205*da2e3ebdSchin rights granted under Section 2(b) shall terminate as of the date such 206*da2e3ebdSchin litigation is filed. 207*da2e3ebdSchin 208*da2e3ebdSchin All Recipient's rights under this Agreement shall terminate if it 209*da2e3ebdSchin fails to comply with any of the material terms or conditions of this 210*da2e3ebdSchin Agreement and does not cure such failure in a reasonable period of 211*da2e3ebdSchin time after becoming aware of such noncompliance. If all Recipient's 212*da2e3ebdSchin rights under this Agreement terminate, Recipient agrees to cease use 213*da2e3ebdSchin and distribution of the Program as soon as reasonably practicable. 214*da2e3ebdSchin However, Recipient's obligations under this Agreement and any licenses 215*da2e3ebdSchin granted by Recipient relating to the Program shall continue and 216*da2e3ebdSchin survive. 217*da2e3ebdSchin 218*da2e3ebdSchin Everyone is permitted to copy and distribute copies of this Agreement, 219*da2e3ebdSchin but in order to avoid inconsistency the Agreement is copyrighted and 220*da2e3ebdSchin may only be modified in the following manner. The Agreement Steward 221*da2e3ebdSchin reserves the right to publish new versions (including revisions) of 222*da2e3ebdSchin this Agreement from time to time. No one other than the Agreement 223*da2e3ebdSchin Steward has the right to modify this Agreement. IBM is the initial 224*da2e3ebdSchin Agreement Steward. IBM may assign the responsibility to serve as the 225*da2e3ebdSchin Agreement Steward to a suitable separate entity. Each new version of 226*da2e3ebdSchin the Agreement will be given a distinguishing version number. The 227*da2e3ebdSchin Program (including Contributions) may always be distributed subject to 228*da2e3ebdSchin the version of the Agreement under which it was received. In addition, 229*da2e3ebdSchin after a new version of the Agreement is published, Contributor may 230*da2e3ebdSchin elect to distribute the Program (including its Contributions) under 231*da2e3ebdSchin the new version. Except as expressly stated in Sections 2(a) and 2(b) 232*da2e3ebdSchin above, Recipient receives no rights or licenses to the intellectual 233*da2e3ebdSchin property of any Contributor under this Agreement, whether expressly, 234*da2e3ebdSchin by implication, estoppel or otherwise. All rights in the Program not 235*da2e3ebdSchin expressly granted under this Agreement are reserved. 236*da2e3ebdSchin 237*da2e3ebdSchin This Agreement is governed by the laws of the State of New York and 238*da2e3ebdSchin the intellectual property laws of the United States of America. No 239*da2e3ebdSchin party to this Agreement will bring a legal action under this Agreement 240*da2e3ebdSchin more than one year after the cause of action arose.
