*da2e3ebdSchinCommon Public License Version 1.0
*da2e3ebdSchin
*da2e3ebdSchin THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS COMMON
*da2e3ebdSchin PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR DISTRIBUTION OF
*da2e3ebdSchin THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS AGREEMENT.
*da2e3ebdSchin
*da2e3ebdSchin 1. DEFINITIONS
*da2e3ebdSchin
*da2e3ebdSchin "Contribution" means:
*da2e3ebdSchin
*da2e3ebdSchin a) in the case of the initial Contributor, the initial code and
*da2e3ebdSchin documentation distributed under this Agreement, and
*da2e3ebdSchin
*da2e3ebdSchin b) in the case of each subsequent Contributor:
*da2e3ebdSchin
*da2e3ebdSchin i) changes to the Program, and
*da2e3ebdSchin
*da2e3ebdSchin     ii) additions to the Program;
*da2e3ebdSchin
*da2e3ebdSchin where such changes and/or additions to the Program originate from
*da2e3ebdSchin and are distributed by that particular Contributor. A Contribution
*da2e3ebdSchin 'originates' from a Contributor if it was added to the Program by
*da2e3ebdSchin such Contributor itself or anyone acting on such Contributor's
*da2e3ebdSchin behalf. Contributions do not include additions to the Program
*da2e3ebdSchin which: (i) are separate modules of software distributed in
*da2e3ebdSchin conjunction with the Program under their own license agreement, and
*da2e3ebdSchin (ii) are not derivative works of the Program.
*da2e3ebdSchin
*da2e3ebdSchin "Contributor" means any person or entity that distributes the Program.
*da2e3ebdSchin
*da2e3ebdSchin "Licensed Patents " mean patent claims licensable by a Contributor
*da2e3ebdSchin which are necessarily infringed by the use or sale of its Contribution
*da2e3ebdSchin alone or when combined with the Program.
*da2e3ebdSchin
*da2e3ebdSchin "Program" means the Contributions distributed in accordance with this
*da2e3ebdSchin Agreement.
*da2e3ebdSchin
*da2e3ebdSchin "Recipient" means anyone who receives the Program under this
*da2e3ebdSchin Agreement, including all Contributors.
*da2e3ebdSchin
*da2e3ebdSchin 2. GRANT OF RIGHTS
*da2e3ebdSchin
*da2e3ebdSchin a) Subject to the terms of this Agreement, each Contributor hereby
*da2e3ebdSchin grants Recipient a non-exclusive, worldwide, royalty-free copyright
*da2e3ebdSchin license to reproduce, prepare derivative works of, publicly
*da2e3ebdSchin display, publicly perform, distribute and sublicense the
*da2e3ebdSchin Contribution of such Contributor, if any, and such derivative
*da2e3ebdSchin works, in source code and object code form.
*da2e3ebdSchin
*da2e3ebdSchin b) Subject to the terms of this Agreement, each Contributor hereby
*da2e3ebdSchin grants Recipient a non-exclusive, worldwide, royalty-free patent
*da2e3ebdSchin license under Licensed Patents to make, use, sell, offer to sell,
*da2e3ebdSchin import and otherwise transfer the Contribution of such Contributor,
*da2e3ebdSchin if any, in source code and object code form. This patent license
*da2e3ebdSchin shall apply to the combination of the Contribution and the Program
*da2e3ebdSchin if, at the time the Contribution is added by the Contributor, such
*da2e3ebdSchin addition of the Contribution causes such combination to be covered
*da2e3ebdSchin by the Licensed Patents. The patent license shall not apply to any
*da2e3ebdSchin other combinations which include the Contribution. No hardware per
*da2e3ebdSchin se is licensed hereunder.
*da2e3ebdSchin
*da2e3ebdSchin c) Recipient understands that although each Contributor grants the
*da2e3ebdSchin licenses to its Contributions set forth herein, no assurances are
*da2e3ebdSchin provided by any Contributor that the Program does not infringe the
*da2e3ebdSchin patent or other intellectual property rights of any other entity.
*da2e3ebdSchin Each Contributor disclaims any liability to Recipient for claims
*da2e3ebdSchin brought by any other entity based on infringement of intellectual
*da2e3ebdSchin property rights or otherwise. As a condition to exercising the
*da2e3ebdSchin rights and licenses granted hereunder, each Recipient hereby
*da2e3ebdSchin assumes sole responsibility to secure any other intellectual
*da2e3ebdSchin property rights needed, if any. For example, if a third party
*da2e3ebdSchin patent license is required to allow Recipient to distribute the
*da2e3ebdSchin Program, it is Recipient's responsibility to acquire that license
*da2e3ebdSchin before distributing the Program.
*da2e3ebdSchin
*da2e3ebdSchin d) Each Contributor represents that to its knowledge it has
*da2e3ebdSchin sufficient copyright rights in its Contribution, if any, to grant
*da2e3ebdSchin the copyright license set forth in this Agreement.
*da2e3ebdSchin
*da2e3ebdSchin 3. REQUIREMENTS
*da2e3ebdSchin
*da2e3ebdSchin A Contributor may choose to distribute the Program in object code form
*da2e3ebdSchin under its own license agreement, provided that:
*da2e3ebdSchin
*da2e3ebdSchin a) it complies with the terms and conditions of this Agreement; and
*da2e3ebdSchin
*da2e3ebdSchin b) its license agreement:
*da2e3ebdSchin
*da2e3ebdSchin i) effectively disclaims on behalf of all Contributors all
*da2e3ebdSchin warranties and conditions, express and implied, including
*da2e3ebdSchin warranties or conditions of title and non-infringement, and implied
*da2e3ebdSchin warranties or conditions of merchantability and fitness for a
*da2e3ebdSchin     particular purpose;
*da2e3ebdSchin
*da2e3ebdSchin ii) effectively excludes on behalf of all Contributors all
*da2e3ebdSchin liability for damages, including direct, indirect, special,
*da2e3ebdSchin     incidental and consequential damages, such as lost profits;
*da2e3ebdSchin
*da2e3ebdSchin iii) states that any provisions which differ from this Agreement
*da2e3ebdSchin     are offered by that Contributor alone and not by any other party;
*da2e3ebdSchin and
*da2e3ebdSchin
*da2e3ebdSchin iv) states that source code for the Program is available from such
*da2e3ebdSchin Contributor, and informs licensees how to obtain it in a reasonable
*da2e3ebdSchin manner on or through a medium customarily used for software
*da2e3ebdSchin exchange.
*da2e3ebdSchin
*da2e3ebdSchin When the Program is made available in source code form:
*da2e3ebdSchin
*da2e3ebdSchin a) it must be made available under this Agreement; and
*da2e3ebdSchin
*da2e3ebdSchin b) a copy of this Agreement must be included with each copy of the
*da2e3ebdSchin Program.
*da2e3ebdSchin
*da2e3ebdSchin Contributors may not remove or alter any copyright notices contained
*da2e3ebdSchin within the Program.
*da2e3ebdSchin
*da2e3ebdSchin Each Contributor must identify itself as the originator of its
*da2e3ebdSchin Contribution, if any, in a manner that reasonably allows subsequent
*da2e3ebdSchin Recipients to identify the originator of the Contribution.
*da2e3ebdSchin
*da2e3ebdSchin 4. COMMERCIAL DISTRIBUTION
*da2e3ebdSchin
*da2e3ebdSchin Commercial distributors of software may accept certain
*da2e3ebdSchin responsibilities with respect to end users, business partners and the
*da2e3ebdSchin like. While this license is intended to facilitate the commercial use
*da2e3ebdSchin of the Program, the Contributor who includes the Program in a
*da2e3ebdSchin commercial product offering should do so in a manner which does not
*da2e3ebdSchin create potential liability for other Contributors. Therefore, if a
*da2e3ebdSchin Contributor includes the Program in a commercial product offering,
*da2e3ebdSchin such Contributor ("Commercial Contributor") hereby agrees to defend
*da2e3ebdSchin and indemnify every other Contributor ("Indemnified Contributor")
*da2e3ebdSchin against any losses, damages and costs (collectively "Losses") arising
*da2e3ebdSchin from claims, lawsuits and other legal actions brought by a third party
*da2e3ebdSchin against the Indemnified Contributor to the extent caused by the acts
*da2e3ebdSchin or omissions of such Commercial Contributor in connection with its
*da2e3ebdSchin distribution of the Program in a commercial product offering. The
*da2e3ebdSchin obligations in this section do not apply to any claims or Losses
*da2e3ebdSchin relating to any actual or alleged intellectual property infringement.
*da2e3ebdSchin In order to qualify, an Indemnified Contributor must: a) promptly
*da2e3ebdSchin notify the Commercial Contributor in writing of such claim, and b)
*da2e3ebdSchin allow the Commercial Contributor to control, and cooperate with the
*da2e3ebdSchin Commercial Contributor in, the defense and any related settlement
*da2e3ebdSchin negotiations. The Indemnified Contributor may participate in any such
*da2e3ebdSchin claim at its own expense.
*da2e3ebdSchin
*da2e3ebdSchin For example, a Contributor might include the Program in a commercial
*da2e3ebdSchin product offering, Product X. That Contributor is then a Commercial
*da2e3ebdSchin Contributor. If that Commercial Contributor then makes performance
*da2e3ebdSchin claims, or offers warranties related to Product X, those performance
*da2e3ebdSchin claims and warranties are such Commercial Contributor's responsibility
*da2e3ebdSchin alone. Under this section, the Commercial Contributor would have to
*da2e3ebdSchin defend claims against the other Contributors related to those
*da2e3ebdSchin performance claims and warranties, and if a court requires any other
*da2e3ebdSchin Contributor to pay any damages as a result, the Commercial Contributor
*da2e3ebdSchin must pay those damages.
*da2e3ebdSchin
*da2e3ebdSchin 5. NO WARRANTY
*da2e3ebdSchin
*da2e3ebdSchin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
*da2e3ebdSchin PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY
*da2e3ebdSchin KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY
*da2e3ebdSchin WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
*da2e3ebdSchin OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
*da2e3ebdSchin responsible for determining the appropriateness of using and
*da2e3ebdSchin distributing the Program and assumes all risks associated with its
*da2e3ebdSchin exercise of rights under this Agreement, including but not limited to
*da2e3ebdSchin the risks and costs of program errors, compliance with applicable
*da2e3ebdSchin laws, damage to or loss of data, programs or equipment, and
*da2e3ebdSchin unavailability or interruption of operations.
*da2e3ebdSchin
*da2e3ebdSchin 6. DISCLAIMER OF LIABILITY
*da2e3ebdSchin
*da2e3ebdSchin EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
*da2e3ebdSchin ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
*da2e3ebdSchin INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
*da2e3ebdSchin WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
*da2e3ebdSchin LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
*da2e3ebdSchin NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
*da2e3ebdSchin DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
*da2e3ebdSchin HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
*da2e3ebdSchin
*da2e3ebdSchin 7. GENERAL
*da2e3ebdSchin
*da2e3ebdSchin If any provision of this Agreement is invalid or unenforceable under
*da2e3ebdSchin applicable law, it shall not affect the validity or enforceability of
*da2e3ebdSchin the remainder of the terms of this Agreement, and without further
*da2e3ebdSchin action by the parties hereto, such provision shall be reformed to the
*da2e3ebdSchin minimum extent necessary to make such provision valid and enforceable.
*da2e3ebdSchin
*da2e3ebdSchin If Recipient institutes patent litigation against a Contributor with
*da2e3ebdSchin respect to a patent applicable to software (including a cross-claim or
*da2e3ebdSchin counterclaim in a lawsuit), then any patent licenses granted by that
*da2e3ebdSchin Contributor to such Recipient under this Agreement shall terminate as
*da2e3ebdSchin of the date such litigation is filed. In addition, if Recipient
*da2e3ebdSchin institutes patent litigation against any entity (including a
*da2e3ebdSchin cross-claim or counterclaim in a lawsuit) alleging that the Program
*da2e3ebdSchin itself (excluding combinations of the Program with other software or
*da2e3ebdSchin hardware) infringes such Recipient's patent(s), then such Recipient's
*da2e3ebdSchin rights granted under Section 2(b) shall terminate as of the date such
*da2e3ebdSchin litigation is filed.
*da2e3ebdSchin
*da2e3ebdSchin All Recipient's rights under this Agreement shall terminate if it
*da2e3ebdSchin fails to comply with any of the material terms or conditions of this
*da2e3ebdSchin Agreement and does not cure such failure in a reasonable period of
*da2e3ebdSchin time after becoming aware of such noncompliance. If all Recipient's
*da2e3ebdSchin rights under this Agreement terminate, Recipient agrees to cease use
*da2e3ebdSchin and distribution of the Program as soon as reasonably practicable.
*da2e3ebdSchin However, Recipient's obligations under this Agreement and any licenses
*da2e3ebdSchin granted by Recipient relating to the Program shall continue and
*da2e3ebdSchin survive.
*da2e3ebdSchin
*da2e3ebdSchin Everyone is permitted to copy and distribute copies of this Agreement,
*da2e3ebdSchin but in order to avoid inconsistency the Agreement is copyrighted and
*da2e3ebdSchin may only be modified in the following manner. The Agreement Steward
*da2e3ebdSchin reserves the right to publish new versions (including revisions) of
*da2e3ebdSchin this Agreement from time to time. No one other than the Agreement
*da2e3ebdSchin Steward has the right to modify this Agreement. IBM is the initial
*da2e3ebdSchin Agreement Steward. IBM may assign the responsibility to serve as the
*da2e3ebdSchin Agreement Steward to a suitable separate entity. Each new version of
*da2e3ebdSchin the Agreement will be given a distinguishing version number. The
*da2e3ebdSchin Program (including Contributions) may always be distributed subject to
*da2e3ebdSchin the version of the Agreement under which it was received. In addition,
*da2e3ebdSchin after a new version of the Agreement is published, Contributor may
*da2e3ebdSchin elect to distribute the Program (including its Contributions) under
*da2e3ebdSchin the new version. Except as expressly stated in Sections 2(a) and 2(b)
*da2e3ebdSchin above, Recipient receives no rights or licenses to the intellectual
*da2e3ebdSchin property of any Contributor under this Agreement, whether expressly,
*da2e3ebdSchin by implication, estoppel or otherwise. All rights in the Program not
*da2e3ebdSchin expressly granted under this Agreement are reserved.
*da2e3ebdSchin
*da2e3ebdSchin This Agreement is governed by the laws of the State of New York and
*da2e3ebdSchin the intellectual property laws of the United States of America. No
*da2e3ebdSchin party to this Agreement will bring a legal action under this Agreement
*da2e3ebdSchin more than one year after the cause of action arose. Each party waives
*da2e3ebdSchin its rights to a jury trial in any resulting litigation.
